Following the news that Japan's SoftBank had received FCC approval to move forward with its acquisition of Sprint Nextel (NYSE: S  ) , Standard & Poor's has lowered its long-term corporate credit and senior unsecured debt rating of SoftBank two spots, from BBB to BB+, the credit rating service announced today.

The new, lower debt rating assumes SoftBank's $21.6 billion acquisition of Sprint will be completed later this month, S&P said, and reflects a "significant financial risk profile following the merger." SoftBank's increased debt used to finance the Sprint acquisition and Sprint's "weak cash flow generation, and high debt ratios," were both cited by S&P as financial concerns for SoftBank.

In contrast to SoftBank's rating decline, S&P noted it has a "stable" outlook for the Japanese wireless provider, expecting that "Softbank's domestic mobile and other businesses will likely grow steadily and that Sprint Nextel's operating performance will likely improve gradually, in part reflecting cost reductions and other benefits of the merger."

    If you're reading this, then you already know the big news from Darden Restaurants, Inc. (NYSE:DRI) today. The chain is letting go of its Red Lobster unit, for a sum of $2.1 billion. The DRI investor base isn't pleased, judging from the stock's 4% drop in value. Many shareholders - and a couple of institutional investors - were hoping the company would either elect to turn things around and/or spin the company off into a publicly-traded company. The company elected to just wash its hands of it the easier way... by letting it move into the hands of a private equity firm.

    Wall Street had another rising day, with the Dow Industrials and the S&P 500 reaching new record highs. But one tech stock tanked and the momentum took a bunch of others in the sector down with it. The Dow Jones industrial average (^DJI) closed 25 points higher, the Nasdaq composite (^IXIC) added 8 points, and the Standard & Poor's 500 index (^GPSC) was up 3 points. One of the top gainers on the S&P 500 was used car giant CarMax (KMX). Its share price zoomed higher by 16.5 percent with revenue and profits hitting record levels. The still lackluster economic recovery is causing many to drive off lots in used cars instead of new vehicles. And the hottest model over the past two years? The Nissan Altima. Automotive retailer AutoNation (AN), which runs new and used dealerships, also got a boost, rising more than 5 percent. It was a different story for software giant Oracle (ORCL), which was one of the S&P 500's biggest losers. Its stock fell 4 percent on sagging earnings. Social media stocks fell too. Pandora (P) was down 1.5 percent as was Groupon (GRPN), LinkedIn (LNKD) lost almost 1 percent and Amazon (AMZN) fell less than 1 percent two days after unveiling its first smartphone. But poor Radioshack (RSH). Its stock hit a new low, trading below a dollar a share for the first time after falling almost 10 percent. Since the beginning of the year the stock is down 64 percent. One analyst has a price target of zero on the stock. Ouch. (We hope you don't have that one in your portfolio.) And Darden's (DRI) earnings weren't very appetizing. Profits came in much lower than expected and guidance was weak. The stock fell 4 percent. It is selling its Red Lobster chain and trying to focus on revamping Olive Garden.     Another potential earnings short-squeeze candidate is quick-service restaurant player Noodles (NDLS), which is set to release numbers on Wednesday after the market close. Wall Street analysts, on average, expect Noodles to report revenue of $91.01 million on earnings of 11 cents per share.

    The current short interest as a percentage of the float for Noodles is very high at 18.3%. That means that out of the 18.33 million shares in the tradable float, 3.01 million shares are sold short by the bears. The bears have also been increasing their bets from the last reporting period by 11.4%, or by about 307,000 shares. If the bears get caught pressing their bets into a bullish quarter, then shares of NDLS could experience a large short squeeze post-earnings as the bears rush to cover some of their bets.

    From a technical perspective, NDLS is currently trending right below its 50-day moving average, which is bearish. This stock has been trending sideways for the last four months, with shares moving between $38.90 on the downside and $51.97 on the upside. If this stock can manage to take out the upper-end of its recent range post-earnings, then we could see a big breakout trade get triggered that would take NDLS outside of its massive range.

    If you're bullish on NDLS, then I would wait until after its report and look for long-biased trades if this stock manages to break out above some near-term overhead resistance levels at $47.50 to $49.75 a share, and then once it takes out its all-time high at $51.97 a share with high volume. Look for volume on that move that hits near or above its three-month average action of 455,155 shares. If that breakout hits, then NDLS will set up to enter new all-time high territory, which is bullish technical price action. Some possible upside targets off that breakout are $60 to $70 a share.

Restaurant Categories

The Company classifies its restaurants into one of four categories: freestanding, food court, in-store and mall stores. Freestanding restaurants are the type of restaurant, which have ample indoor seating and include a drive-through area. Food court restaurants are located in malls and consist of a front counter and kitchen and do not have their own seating area. In-store restaurants are part ! of a larg! er building and resemble freestanding restaurants, except for the lack of a drive-through area. Mall stores are located in malls like food court restaurants, but have their own seating areas. As of December 31, 2010, 808 (or 46.2%) of its restaurants were freestanding, 359 (or 20.5%) were food court, 265 (or 15.1%) were in-stores and 319 (or 18.2%) were mall stores. Reimaging

As of December 31, 2010, the Company had completed the reimaging of 308 of 1,569 restaurants. Many of the reimaging projects include the addition of McCafe locations to the restaurant. It has developed system-wide guidelines for the interior and exterior design of reimaged restaurants.

McCafe Locations and Dessert Centers

McCafe locations are stylish, separate areas within restaurants where customers can purchase a range of customizable beverages, including lattes, cappuccinos, mochas, hot and iced premium coffees and hot chocolate. As of December 31, 2010, there were 267 McCafe locations in the Territories, of which 12% were operated by franchisees. Argentina, with 71 locations, has McCafe locations, followed by Brazil, with 67 locations. In addition to McCafe locations, it has Dessert Centers. Dessert Centers operate from existing restaurants, but depend on them for supplies and operational support. As of December 31, 2010, there were 1,306 Dessert Centers in the Territories.

That trade will hit if ARCO manages to take out its intraday high of $13.42 and then once it clears more resistance at $14.35 with high volume.

    Traders should now look for long-biased trades in ARCO as long as it's trending above its 200-day at $12.86 or its 50-day at $12.31 and then once it sustains a move or close above those breakout levels with volume that hits near or above 856,761 shares. If that breakout triggers soon, then ARCO will set up to re-test or possibly take out its next major overhead resistance levels at $15.52 to its 52-week high at $16. Any high-volume move above those levels will then give ARCO a chance to tag $18 to $19.

    Slow but steady -- that seems to be the new mantra here on Wall Street. The Dow Industrials and the S&P 500 plowed further into record territory on Friday. The catalyst for today's advance was the monthly jobs report, which showed the total number of people employed finally topped the 2008 peak it hit just before the Great Recession took hold. The Dow Jones industrial average (^DJI) gained 88 points, the Standard & Poor's 500 index (^GPSC) rose 9, and the Nasdaq composite (^IXIC) gained 25 points. Financial stocks helped lead the advance. Pawn Lending Activities

The Company's pawn stores make small loans to their customers in order to help them meet short-term cash needs. All pawn loans are collateralized by personal property such as jewelry, electronic equipment, household appliances, tools, sporting goods and musical instruments. Pawn loans are non-recourse loans and the pledged goods provide the only security to the Company for the repayment of the loan. At the time a pawn transaction is entered into, an agreement, commonly referred to as a pawn ticket, is delivered to the borrower for signature that sets forth, among other items, the name and address of the pawnshop, borrower's name, borrower's identification number from his/her driver's license or other identification, date, identification and description of the pledged goods, including applicable serial numbers, amount financed, pawn service fee, maturity date, total amount that must be paid to redeem the pledged goods on the maturity date, and the annual percentage rate. Pledged property is held through the term of the loan, unless the pawn is paid earlier or renewed. The typical loan term is generally one month plus an additional grace period (typically 30 to 90 days). The Company contracts for pawn loan fees and service charges as compensation for the use of the funds loaned and to cover direct operating expenses related to the transaction and holding the pledged property. These pa! wn loan f! ees and service charges accounted for approximately 26% of the Company's revenue from continuing operations during the year ended December 31, 2012 .

Credit Services and Consumer Loan Activities

The Company has significantly reduced its U.S.-based consumer loan activities, primarily from payday lending, over the past several years. In September 2012, the Company closed seven of its consumer loan stores located in the Texas cities of Austin and Dallas. The Company offers a fee-based credit services organization program (CSO Program) to assist consumers, in Texas markets, in obtaining extensions of credit. The Company's consumer loan and pawn stores in Texas offer the CSO Program, and, in Texas, credit services are also offered via an Internet platform. Under the CSO Program, the Company assists customers in applying for a short-term extension of credit from an independent, non-bank, consumer lending company (the Independent Lender) and issues the Independent Lender a letter of credit to guarantee the repayment of the extension of credit.

The Company subsequently collects a percentage of these bad debts by redepositing the customers' checks, ACH collections or subsequent cash repayments by the customers. The profitability of the Company's credit services operations is dependent upon adequate collection of these returned items. The Company also offers an automobile title lending product under the CSO Program. These credit services fees accounted for approximately 8% of the Company's revenue from continuing operations during 2012 . In Mexico, the Company also offers an installment loan product with a term of 365 days and bears weekly service fees of 7% on the loan amount. That trade will hit if EMRK manages to take out some key near-term overhead resistance levels at $4.16 to $4.20 and then above $4.22 with high volume.

    Traders should now look for long-biased trades in EMKR as long as it's trending above some key near-term support levels at $3.90 to $3.86 or above more support at $3.78 and then once it sustains a move or close above those breakout levels with volume that hits near or above 103,744 shares. If that breakout gets underway soon, then EMKR will set up to re-test or possibly take out its next major overhead resistance levels at $4.53 to its 200-day moving average of $4.65, or even $5 to $5.30.
